# Terms of Service

## 1. Acceptance of Terms

By accessing or using the ShiftPro platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including company administrators, employees, and visitors.

## 2. Description of Service

ShiftPro is a cloud-based workforce management platform that provides shift scheduling, time tracking, attendance management, and related tools. The Service is provided on a subscription basis with various plan tiers and optional add-ons.

## 3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use. ShiftPro reserves the right to suspend accounts that violate these Terms.

## 4. Subscription & Billing

Paid plans are billed on a recurring basis (monthly or annually). Pricing is determined by your selected plan and the number of active seats. You authorize ShiftPro to charge your payment method for all applicable fees. Subscription fees are non-refundable except where required by law. We may change pricing with 30 days' advance notice.

## 5. Free Trial

ShiftPro may offer a trial period. At the end of the trial, your account will convert to a paid subscription unless you cancel. Trial terms and duration are specified at signup.

## 6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or its systems; (c) interfere with or disrupt the integrity of the Service; (d) upload malicious code or content; (e) resell or redistribute the Service without authorization; (f) use the Service to store or transmit content that violates any third-party rights.

## 7. Data Ownership

You retain ownership of all data you submit to the Service ("Customer Data"). You grant ShiftPro a limited license to process Customer Data solely to provide the Service. We will not sell, share, or use your data for purposes unrelated to delivering the Service.

## 8. Intellectual Property

The Service, including its software, design, trademarks, and documentation, is the intellectual property of ShiftPro. These Terms do not grant you any rights to use ShiftPro's intellectual property except as necessary to use the Service.

## 9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. ShiftPro is not liable for downtime caused by factors beyond our reasonable control.

## 10. Limitation of Liability

To the maximum extent permitted by law, ShiftPro's total liability for any claims arising from or relating to the Service shall not exceed the amount you paid in the 12 months preceding the claim. ShiftPro shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

## 11. Indemnification

You agree to indemnify and hold ShiftPro harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

## 12. Termination

Either party may terminate the subscription at any time. Upon termination, your access will continue until the end of the current billing period. ShiftPro may suspend or terminate accounts that violate these Terms with or without notice. After termination, your data will be retained for 30 days before deletion, unless you request earlier deletion.

## 13. Changes to Terms

ShiftPro may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

## 14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
